Terms & Conditions

Last updated: August 2026  ·  Davina Connect  ·  www.davinaconnect.co.uk

These Terms & Conditions explain the basis on which Davina Connect provides its website, Business Review, recommendations and implementation services. Specific project terms, scope, fees and responsibilities may also be set out separately in a proposal, statement of work or written agreement.

1. About Davina Connect

Davina Connect is a UK business providing business reviews, business systems, CRM, AI and automation services.

Our work begins with understanding how a business currently operates, including its people, processes, information and systems, before recommending or implementing technology.

You can contact us at info@davinaconnect.co.uk .

2. Our Services

Depending on the work agreed, services may include:

  • Business Reviews and diagnostic assessments
  • Business snapshots, observations and recommendations
  • CRM selection, setup or organisation
  • Business systems and workflow design
  • Automation planning and implementation
  • AI tools and business automation where appropriate
  • Lead capture, enquiry management and follow up systems
  • Integration and organisation of business information and processes
  • Training, documentation and implementation support

The exact scope of any paid work will be agreed with you before implementation begins.

3. Business Reviews and Recommendations

A Business Review is designed to provide structured observations based on the information available to us at the time.

Recommendations are intended to support business decision making. They do not replace your own commercial judgement, professional advice or responsibility for decisions made within your business.

You remain responsible for deciding whether to accept, reject or implement any recommendation.

4. Proposals and Agreements

Where you ask Davina Connect to carry out implementation or other paid work, we may provide a proposal, quotation, statement of work, invoice or other written agreement.

That document may set out:

  • The agreed scope of work
  • Deliverables
  • Timescales
  • Fees and payment arrangements
  • Client responsibilities
  • Third party costs
  • Ongoing support arrangements where applicable

If there is a conflict between these website terms and a specific written agreement for a project, the specific written agreement will take priority for that project.

5. Fees and Payment

Fees vary according to the service and scope of work. We will confirm applicable fees before paid work begins.

  • Fees and payment schedules will be stated in the relevant proposal or invoice
  • Third party software, advertising, platform or subscription costs may be charged separately
  • You are responsible for paying invoices by the stated due date
  • We may pause work or services where an invoice remains overdue

6. Changes to Scope

If the agreed scope changes during a project, additional work, costs or timescales may need to be agreed before that work is carried out.

We will not knowingly carry out material work outside the agreed scope without discussing it with you.

7. Cancellation and Refunds

Cancellation and refund arrangements may vary according to the service purchased and the stage the work has reached.

Where specific cancellation terms apply, they will be set out in the proposal, invoice or written agreement relating to that service.

Fees for work already completed, committed third party costs or services already supplied may remain payable.

8. Your Responsibilities

To allow us to provide services effectively, you agree to take reasonable steps to:

  • Provide accurate and relevant business information
  • Provide necessary access to agreed platforms, accounts or systems
  • Respond to reasonable requests for information, decisions or approvals
  • Review important information and deliverables supplied to you
  • Maintain appropriate licences and subscriptions for third party platforms you use
  • Comply with applicable legal, regulatory and contractual requirements relating to your own business

9. Third Party Platforms and Services

Our work may involve third party platforms, software, hosting, CRM systems, AI services, advertising platforms or integrations.

These services are operated by independent providers and may be subject to their own terms, pricing, availability and technical changes.

We cannot guarantee the uninterrupted availability, performance or continued features of a third party service that we do not control.

10. AI and Automation

Where AI or automation is used, it is intended to support agreed business processes rather than replace appropriate human judgement.

Automated systems can be affected by the quality of information, third party services, technical configuration and changing business requirements. Appropriate human review remains important.

11. Intellectual Property

Davina Connect retains ownership of its pre-existing methods, frameworks, templates, know-how, processes and reusable materials.

Rights relating to project-specific deliverables will be set out in the relevant proposal or written agreement where appropriate.

Third party software, platforms and materials remain subject to the intellectual property rights and licence terms of their respective owners.

12. Confidentiality

We will take reasonable care to keep confidential business information provided to us confidential and will use it only where reasonably necessary to provide our services or meet legal obligations.

You are also expected to respect confidential or proprietary information belonging to Davina Connect or third parties.

13. Data Protection

Personal information collected by Davina Connect is handled in accordance with our Privacy Policy and applicable UK data protection law.

Where a project requires Davina Connect to process personal information on behalf of a client, additional data processing terms may be agreed where required.

14. Results and Outcomes

We will provide services with reasonable care and skill, but business, marketing, operational or financial outcomes depend on many factors outside our control.

Unless expressly agreed in writing, we do not guarantee a particular number of leads, customers, appointments, sales, revenue improvements or other commercial result.

15. Liability

Nothing in these terms is intended to exclude or restrict liability where it would be unlawful to do so.

Subject to applicable law and any specific written agreement, Davina Connect will not be responsible for indirect or consequential losses arising from matters outside our reasonable control, including failures or changes to third party platforms or services.

Any specific limitation or cap on liability relating to a paid project may be set out in the relevant proposal, statement of work or client agreement.

16. Website Information

We aim to keep information on this website accurate and current, but website content is provided for general information and may be updated from time to time.

Information on this website should not be treated as legal, financial, accounting or other regulated professional advice.

17. Ending a Service

Either party may end an ongoing service in accordance with the cancellation or notice arrangements agreed for that service.

Outstanding fees and obligations relating to work already carried out may continue after the service ends.

18. Governing Law

These terms are governed by the laws of England and Wales. Any dispute relating to these terms will be subject to the jurisdiction of the courts of England and Wales, subject to any mandatory legal rights that apply.

19. Changes to These Terms

We may update these Terms & Conditions when our services, working arrangements or legal requirements change.

The current version will always be published at www.davinaconnect.co.uk/terms-and-conditions .
